Welcome to xxxxx (the “Site”), operated by EDM Health, Inc. (“Company,” “we,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website and digital wellness and nutrition courses (collectively, the “Services”). Please read these Terms carefully. By accessing the Site or purchasing/using any of our online courses, you agree to be bound by these Terms. If you do not agree, please do not use our Site or Services.
These Terms apply to all users of our Services in the United States. You must be at least 18 years old to use our Services. If you are under 18, you are not permitted to create an account or purchase courses on our Site. By using the Site, you represent that you are at least 18 years of age and a resident of the United States.
1. Use of the Site and Services
Account Registration: Some features (such as purchasing a course) may require creating an account. You agree to provide accurate, up-to-date information during registration and to keep your account credentials confidential. You are responsible for all activities under your account. If you suspect any unauthorized use of your account, notify us immediately. We reserve the right to suspend or terminate accounts that we suspect are being used in violation of these Terms or any law.
User Conduct: You agree to use our Site and Services only for lawful purposes and in compliance with these Terms. You must not engage in any activity that interferes with or disrupts the functioning of the Site or that harms or infringes the rights of anyone. This includes, but is not limited to, the following user obligations:
No Illegal Use: You will not use the Site to violate any law or regulation. This means you will not attempt to hack, attack, or undermine the security or integrity of our systems, and you will not use the Service for any fraudulent or malicious activity.
No Unauthorized Access: You will not attempt to access another user’s account or data without permission, and you will not use any automated means (such as bots or scrapers) to access or collect information from the Site.
Respect Intellectual Property: You will not copy, reproduce, distribute, or create derivative works from our content except as expressly allowed by these Terms (see Intellectual Property section below). Likewise, you will not upload or transmit any content through our Site that infringes any third party’s intellectual property or other rights.
Truthful Information: If you provide information (for example, in creating an account or posting any feedback or comments on the Site), you agree to provide truthful, accurate information. You will not impersonate any person or entity or misrepresent your affiliation with anyone.
No Abuse: You will not engage in harassing, threatening, or abusive behavior while using our Services, including towards our staff or instructors. You will not post or transmit any content that is unlawful, harmful, defamatory, hateful, or otherwise objectionable.
Compliance with Terms: You will adhere to any other rules or codes of conduct that we may provide or update from time to time. Violation of any of the above obligations may result in suspension or termination of your access to the Services, at our sole discretion, and may also expose you to legal liability.
2. Intellectual Property and Course Content
All content available on en-nutrition.com – including text, graphics, logos, videos, audio clips, course materials, downloadable resources, software, and the overall website design – is the property of EDM Health, Inc. or our content suppliers and is protected by copyright, trademark, and other intellectual property laws. Our company name, logos, and any course titles or module names are trademarks of the Company. You do not acquire any ownership rights by purchasing a course or using the Site.
Limited License for Personal Use: When you enroll in one of our digital courses, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and view the course content for your own personal, non-commercial use. This means you may watch the videos, read the materials, and utilize the content for your personal education and wellness. Except for this limited license, no right, title, or interest in our content is transferred to you.
Prohibited Uses of Content: You agree not to engage in any of the following concerning our courses and content, except with our prior written permission:
No Copying or Distribution: You will not download, reproduce, duplicate, or distribute any course videos, PDFs, or other materials to anyone else (other than brief quotations permitted under fair use). For example, you cannot share course files on the internet or upload our videos to other platforms
No Derivative Works or Commercial Use: You will not modify, translate, or create derivative works based on our content. You also will not use the content for any commercial purpose or for teaching your own classes/workshops. The courses are for your individual learning only, not for you to resell or use in any competing product.
No Sharing of Access: You will not share your login credentials or provide any other person with access to the course using your account. Your account is personal to you. Sharing access is a violation of these Terms and may result in termination of your account without a refund.
Intellectual Property Protection: You will not remove or obscure any copyright, trademark, or other proprietary notices on the Site or within the course materials. If we mark certain content with watermarks or digital rights management, you will not attempt to remove or bypass these measures.
Any use of our Site or content beyond what is expressly permitted by these Terms is strictly prohibited and will terminate the license granted herein. Unauthorized use may also violate copyright laws, trademark laws, and other regulations. We reserve the right to pursue legal action to protect our intellectual property rights if necessary.
3. Payments and Refunds
Pricing: All prices for our digital courses are displayed in U.S. dollars. Payment in full is required at the time of purchase (unless otherwise explicitly stated for a payment plan). By providing a payment method (such as a credit card or PayPal), you represent that you are authorized to use that method and you authorize our third-party payment processor to charge the full course price to that payment method. Because our content is delivered digitally, applicable sales tax (if any) will be indicated at checkout and collected where required by law.
Payment Processing: Payments are securely processed through our payment partners (for example, Stripe or PayPal). We do not directly collect or store your sensitive payment card details on our servers. The processing of payments is subject to the terms and privacy policies of those third-party payment processors. The Company is not responsible for any errors or security breaches by the payment processors, but we will help liaise with you to resolve any issues to the best of our ability.
Refund Policy: We want you to be satisfied with our courses. However, since these are digital products, we do have a limited refund policy. We offer a 14-day refund window from the date of purchase for our digital courses, in accordance with common online course practices. If you have purchased a course and are not satisfied, you may request a full refund within 14 calendar days of your purchase. To request a refund, you must contact us via email at en.nutrition.us@gmail.com within the 14-day period, provide your name and the email used for purchase, and (if possible) a brief explanation of your reason for refund (so we can learn and improve). If we receive your valid refund request within the 14-day window, we will process your refund and issue the credit to your original form of payment within approximately 5–10 business days of approval. Please note: After 14 days from the date of purchase, all sales are final – no refunds or cancellations will be granted beyond that timeframe. We also reserve the right to deny refund requests that are fraudulent or abusive (for example, excessive repeat refunds from the same customer may be refused).
For more details, please see our separate Refund Policy page, which is incorporated into these Terms by reference. The Refund Policy provides clear instructions and examples regarding our 14-day refund program and what to expect.
4. Disclaimers of Warranties
“As-Is” Service: Our website, courses, and all content are provided on an “as is” and “as available” basis. EDM Health, Inc. makes no warranties or representations of any kind, express or implied, about the Service. In particular, we do not guarantee that the Site or the content will be error-free, uninterrupted, secure, or always available at any particular time or place. To the fullest extent permitted by law, we disclaim all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the information provided (including any course content) is entirely accurate, complete, or current. The educational content we provide is for general wellness and informational purposes – it is not professional medical advice (see our Health Disclaimer) and we do not warrant any specific outcomes from following the course curriculum.
User’s Responsibility: You agree that your use of the Site and our courses is at your sole risk. We are not responsible for any technology issues or incompatibilities on your end that might affect your experience (for example, if your device or internet connection is not adequate to stream course videos). We may also temporarily suspend or withdraw the Service for maintenance or updates, and we reserve the right to discontinue or modify any part of our Services at our discretion. We will not be liable if for any reason the Site is unavailable at any time. Any material downloaded or otherwise obtained through the use of our Service is accessed at your own discretion and risk.
Third-Party Links and Tools: Our Site may include references or links to third-party websites or services that we do not own or control (for example, an external link to an article or a tool provided by a third party). We may also integrate third-party tools or platforms to enhance our Services. These are provided for convenience, and we do not warrant or endorse the offerings of any third parties. We have no control over and assume no responsibility for any third-party websites or services, including their accuracy, functionality, or practices. If you leave our Site via a third-party link, you do so at your own risk. Please review the third party’s terms and privacy policies as applicable.
5. Limitation of Liability
To the maximum extent permitted by law, EDM Health, Inc. and its directors, officers, employees, instructors, partners, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of (or inability to use) our Site or Services. This includes, without limitation, any damages for lost profits, lost revenue, loss of data, business interruption, or other intangible losses, even if we have been advised of the possibility of such damages. We provide educational content and, while we hope you find it valuable, we are not liable for any decisions you make or actions you take based on the information you obtain from our courses.
In no event shall our total liability to you for all claims arising out of or relating to these Terms or the use of our Services exceed the total amount you paid to us, if any, for the specific course or service that is the subject of the claim. For example, if you paid a one-time $100 fee for a course, and you have a claim related to that course, our liability will not exceed $100. Some jurisdictions do not allow the exclusion or limitation of certain damages, so if you are in a state that disallows the exclusion of certain warranties or limitation of liability for consequential or incidental damages, the above limitations may not apply to you to the extent disallowed by law. In such cases, our liability will be limited to the fullest extent permitted by applicable law.
6. Medical and Health Disclaimer
Our Services include information about nutrition, wellness, and health. However, we are not providing medical advice. All content is intended for general educational purposes and is not a substitute for professional medical consultation, diagnosis, or treatment. No doctor-patient relationship is formed by your use of the Site or our courses. Please refer to our detailed Disclaimer page, which explains these points. By agreeing to these Terms, you acknowledge that you have read and understand our Disclaimer: you should always consult your physician or another qualified health provider before making any changes to your diet, exercise, or healthcare regimen based on information from our site. You also agree that EDM Health is not liable for any harm or adverse effects that may result from your use of or reliance on the information presented. (In short: use common sense and seek professional guidance for personal medical issues.)
7. Termination
Termination by You: You may stop using our Site at any time. If you wish to terminate your account, you may do so by contacting us or by simply ceasing to use the Service. Keep in mind that even if you delete your account, we may retain certain information as required by law or as outlined in our Privacy Policy (for instance, transaction records).
Termination by Us: We reserve the right to suspend or terminate your access to the Services (or any portion of them) at our discretion, with or without notice, if we believe that you have violated these Terms or engaged in improper or unlawful conduct. In the event of termination due to your breach of the Terms or misconduct, you will not be entitled to any refund for purchases (subject to applicable law) and we may prohibit you from re-registering or accessing the Service in the future. We also reserve the right to terminate the Services or any portion thereof, or to cease operation entirely. We are not liable to you for any compensation, reimbursement, or damages in connection with any termination of Service, except that if we choose to discontinue a paid course entirely (not due to your breach), we may provide a pro-rated refund for any content not delivered.
Even after termination, any sections of these Terms which by their nature should survive will continue to apply. This includes, without limitation, provisions on intellectual property rights, disclaimers of warranties, limitations of liability, and governing law.
8. Governing Law and Jurisdiction
These Terms and any dispute arising from your use of the Site or Services are governed by the laws of the State of California, USA, without regard to its conflict of law principles. By using our Services, you agree that if there is any dispute that we cannot amicably resolve, it will be litigated or adjudicated in the state or federal courts located in California. You consent to the personal jurisdiction of such courts. (If you are a consumer residing in a state with mandatory consumer protection laws, nothing in this section will limit any rights you have under those laws.)
9. Changes to Terms
We may modify these Terms from time to time. If we make material changes, we will notify users by posting the updated Terms on our Site with a new effective date and, if appropriate, by additional means such as email notice. It is your responsibility to review these Terms periodically for updates. Your continued use of the Services after any changes to the Terms constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Services.
10. Miscellaneous
Entire Agreement: These Terms, along with our Privacy Policy, Disclaimer, Refund Policy, and any other policies or guidelines we provide, constitute the entire agreement between you and EDM Health, Inc. regarding your use of our Site and Services, and supersede any prior agreements or understandings (whether written or oral).
Severability: If any provision of these Terms is found to be unlawful or unenforceable, that provision will be deemed severed from the Terms and will not affect the validity and enforceability of the remaining provisions, which will remain in full force.
No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of the Company.
